Terms of Service — No Agents

Plain English Summary Use the app honestly and legally. We charge 0.5% when a deal closes — not before. We're not liable if a deal falls through or information is incorrect. You can cancel anytime. UAE law governs everything.

1. Who We Are and What We Do

No Agents is a real estate platform operated by Leon Real Estate, a licensed real estate brokerage in the United Arab Emirates. The app connects property buyers, renters, and landlords directly — eliminating the need for traditional real estate agents.

By downloading, installing, or using the No Agents app, you agree to these Terms of Service. If you do not agree, do not use the app.

2. Eligibility

To use No Agents, you must:

Be at least 18 years old
Have the legal capacity to enter into contracts under UAE law
Not be prohibited from using the service under any applicable law
Provide accurate and truthful information during registration

By using the app, you represent that you meet all of the above requirements.

3. Our Services

3.1 Find Owner (Deal Platform)

Users can submit a property request (building, unit, budget, contact details). No Agents will attempt to contact the property owner on the user's behalf. This service is:

Free to submit — no upfront cost
0.5% fee on successful deal close — payable by the buyer or renter upon completion of the transaction
Off-plan: 3% cashback to buyer — No Agents receives 5% developer commission and returns 3% to you

⚠️ No Guarantee of Success Submitting a request does not guarantee that No Agents will locate the owner, that the owner will respond, or that a deal will be completed. We make reasonable efforts but cannot guarantee outcomes.

3.2 Portfolio Manager (Landlord Tools)

Landlords can manage their properties, tenants, leases, PDC cheques, maintenance requests, and cash flow through the app. This service is:

Free for individual landlords with 1–3 properties
AED 50/unit/month for full building owners (4+ units in the same building) — subject to a minimum fee of AED 299/month
Annual billing available at a discounted rate (2 months free)

3.3 Léon AI Assistant

Léon is an AI-powered real estate assistant. His responses are:

Not guaranteed to be accurate, complete, or current

Always verify important information independently or consult a licensed professional before making real estate decisions.

3.4 Tenant Portal

Tenants can connect to their rented property via an invite code, submit maintenance requests, and communicate with their landlord. No Agents acts as a communication facilitator only — we are not a party to the tenancy agreement.

3.5 Leaderboard

The leaderboard is opt-in. By joining the leaderboard, you consent to your display name, portfolio value, and property count being visible to all app users. You can remove yourself at any time from Settings.

4. Fees and Payments

    How Payments Work
    All fees described below are paid by direct bank transfer to the official Leon Real Estate company bank account. No Agents does not process payments inside the app. Bank account details and a tax invoice are provided to you by email at the time payment is due.
  

4.1 Deal Commission (0.5%)

The 0.5% commission is due and payable upon successful completion of a property transaction (transfer of ownership or execution of a tenancy agreement) that was initiated through No Agents. "Successful completion" means the transaction has legally closed — title deed transferred for sales, Ejari registered for rentals.

Once a deal is closed, Leon Real Estate will issue a tax invoice and provide bank transfer instructions. Payment must be made by bank transfer to the Leon Real Estate company bank account within 7 days of invoice receipt. All fees are subject to 5% UAE Value Added Tax (VAT) where applicable.

4.2 Off-Plan Cashback (3% to Buyer)

For off-plan transactions, the 5% developer commission is paid by the developer directly to Leon Real Estate. Leon Real Estate retains 2% as the platform fee and transfers 3% cashback to the buyer's nominated bank account within 14 days of receipt of the developer commission.

4.3 SaaS Subscription (Building Owners)

The Portfolio Manager subscription (AED 50/unit/month) for full building owners is billed monthly in advance via bank transfer. Subscriptions auto-renew unless cancelled at least 7 days before the next billing date. Refunds are not provided for partial months already billed. Invoices are sent by email; payment is made to the Leon Real Estate company bank account.

4.4 Tenant Renewal Admin Fee (AED 1,500)

A flat administrative fee of AED 1,500 (+ VAT) is charged per tenancy renewal processed through No Agents. This covers Ejari re-registration assistance, document processing, and administrative services. Payment is made by bank transfer to the Leon Real Estate company bank account upon receipt of the invoice.

4.5 Late Payment

Unpaid fees beyond the invoice due date may result in suspension of your account and access to app features. Outstanding amounts may be referred for legal collection under UAE law.

5. User Responsibilities

By using No Agents, you agree to:

Provide accurate, complete, and up-to-date information about yourself and any properties
Not submit false property requests or misleading information
Not attempt to bypass or circumvent our fee structure (e.g., conducting a deal introduced by No Agents while avoiding the 0.5% fee)
Not use the app for any unlawful purpose under UAE or international law
Not upload documents belonging to others without their knowledge and consent
Not attempt to reverse-engineer, hack, or disrupt the app or its backend systems
Not create multiple accounts to abuse free tier limits
Keep your account credentials confidential and notify us immediately of any unauthorized access
Comply with all applicable UAE real estate laws, RERA regulations, and DLD requirements

6. Uploaded Documents and Content

When you upload title deeds, Ejari contracts, SPAs, or any other documents:

You confirm you have the legal right to upload and process those documents
You understand these documents are sent to OpenAI for AI-powered text extraction
You are responsible for ensuring you have consent from any third parties whose personal data appears in the documents
No Agents takes no responsibility for errors in AI-extracted data — always review extracted information before saving

7. Intellectual Property

All content, design, code, branding, and features of the No Agents app are owned by Leon Real Estate. You are granted a limited, non-exclusive, non-transferable license to use the app for its intended purpose.

You may not copy, reproduce, modify, distribute, or create derivative works from any part of the app without written permission.

"Léon," "No Agents," and related logos are trademarks of Leon Real Estate.

8. Disclaimer of Warranties

    The app is provided "as is" and "as available"
    Leon Real Estate makes no warranties, express or implied, regarding the app, including but not limited to: accuracy of property data, availability of service, fitness for a particular purpose, or that the app will be error-free or uninterrupted.
  

We do not verify the accuracy of property listings, ownership claims, or user-submitted information. Always conduct your own due diligence before entering any real estate transaction.

9. Limitation of Liability

To the maximum extent permitted by UAE law, Leon Real Estate shall not be liable for:

Any loss of profit, revenue, data, or goodwill
Any indirect, incidental, special, or consequential damages
Failed property transactions, regardless of cause
Inaccurate AI-generated responses from Léon
Actions or omissions of third parties (property owners, tenants, landlords)
Losses arising from unauthorized access to your account
Service interruptions or technical failures

Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

10. RERA Compliance

Leon Real Estate operates as a licensed real estate brokerage in Dubai. Users of the platform are expected to comply with all RERA regulations, including:

Providing accurate property information
Registering tenancy contracts via Ejari
Adhering to RERA rent increase rules and notice requirements
Not subletting without landlord consent

The 90-day notice alerts and RERA rent increase calculations provided by the app are for guidance only and do not constitute legal advice. Consult a licensed professional for legal matters.

11. Termination

You may terminate your account at any time from Settings → Delete Account.

We reserve the right to suspend or terminate your account immediately if you:

Violate these Terms of Service
Provide false or misleading information
Attempt to circumvent fees
Engage in fraudulent activity
Cause harm to other users or to the platform

Upon termination, your right to use the app ceases immediately. Outstanding fees remain due and payable.

12. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, through an in-app notification. Continued use of the app after changes take effect constitutes acceptance of the updated terms.

13. Governing Law and Disputes

These Terms of Service are governed by the laws of the United Arab Emirates and the Emirate of Dubai. Any disputes arising from these terms or your use of the app shall be subject to the exclusive jurisdiction of the Dubai courts.

We encourage you to contact us first to resolve any dispute informally at info@leonrealestate.ae before initiating formal proceedings.
